Terms and Conditions

The rules and guidelines for using the Heartivy mental health platform.

These Terms and Conditions ("Terms") govern your access to and use of the Heartivy website and platform ("Platform"), operated by Heartivy ("we", "us", "our", or "Heartivy"). By accessing or using the Heartivy platform, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you should discontinue use of the platform immediately.

Heartivy operates as an online platform that enables users to connect with independent psychiatrists, consultants, and mental health professionals who provide guidance related to emotional well-being, relationships, personal development, and mental health support.

Please read these Terms carefully before using the platform. These Terms should be read in conjunction with our Privacy Policy, which is incorporated herein by reference.

Platform Role and Nature of Services

Heartivy operates solely as a technology platform that connects users with independent psychiatrists, consultants, and mental health professionals. Heartivy itself does not provide medical, psychiatric, psychological, or therapeutic services.

All consultations and advice available through the platform are provided directly by independent professionals. These professionals are not employees, agents, or representatives of Heartivy. The platform only facilitates communication between users and professionals.

Important: Heartivy is an intermediary platform under the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Heartivy does not edit, influence, or take responsibility for the content or advice provided by independent professionals on the platform.

Professional Verification

Heartivy may conduct reasonable verification of psychiatrists, consultants, or other professionals who wish to offer services through the platform. Such verification may include reviewing professional qualifications, licenses, certifications, or other credentials provided by the professionals.

However, Heartivy does not guarantee the authenticity, accuracy, or completeness of the information submitted by professionals. Users are encouraged to exercise their own judgment when selecting professionals and engaging in consultations.

Professionals listed on the platform are solely responsible for ensuring that they hold valid licenses and certifications required to practice in their respective fields under applicable Indian laws.

Eligibility

By using the Heartivy platform, you confirm that you are at least 18 years of age and legally capable of entering into a binding agreement under applicable laws. The platform is strictly not intended for use by individuals under the age of 18.

By registering on the platform, you represent and warrant that:

Heartivy shall not be responsible for misuse of the platform by individuals who do not meet the eligibility criteria. If we discover that a user is under the age of 18, we reserve the right to terminate their account immediately.

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • All registration information you provide is accurate and complete
  • You will maintain the accuracy of such information

User Registration and Account Security

Certain services on the platform require users to create an account. Users agree to:

Heartivy reserves the right to suspend or terminate accounts that contain false, misleading, or inaccurate information, or where suspicious or unauthorized activity is detected.

  • Maintain and promptly update account information to keep it accurate and complete
  • Maintain the confidentiality of their login credentials
  • Notify Heartivy immediately of any unauthorized use of their account at heartiivyy@gmail.com
  • Accept responsibility for all activities conducted through their account

User Conduct and Prohibited Activities

Users agree to use the platform responsibly and in compliance with applicable laws and these Terms. The following activities are strictly prohibited:

Heartivy reserves the right to suspend or terminate accounts, remove content, and take appropriate legal action against users who violate these rules.

  • Unlawful, abusive, defamatory, threatening, offensive, or harmful
  • Obscene, pornographic, or sexually explicit
  • Discriminatory on the basis of race, religion, gender, sexual orientation, disability, or other protected characteristics
  • In violation of any third-party intellectual property rights
  • Attempt unauthorized access to any part of the platform or its systems
  • Disrupt or interfere with platform services or other users' experience
  • Use automated tools, bots, or scripts to access the platform without prior written permission
  • Impersonate any person or entity, or misrepresent affiliation with any person or entity
  • Collect or harvest personal data of other users without consent
  • Engage in any fraudulent or misleading activity on the platform

Intellectual Property

All content, trademarks, logos, software, and intellectual property displayed on the Heartivy platform are the exclusive property of Heartivy or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal, non-commercial purposes only.

Users must not:

  • Copy, reproduce, distribute, or create derivative works from platform content without prior written consent
  • Use Heartivy's trademarks, logos, or branding without authorization
  • Reverse engineer, decompile, or disassemble any software used on the platform

Heartivy Wallet and Payment Terms

Heartivy may offer a digital wallet system (the "Heartivy Wallet") that allows users to purchase credits for use on the platform. By using the Heartivy Wallet, you agree to the following:

All payments are processed through secure third-party payment gateways. Heartivy does not store complete credit card or banking details on its servers. Users are subject to the terms and conditions of the applicable payment gateway.

  • Wallet credits may be purchased using supported payment methods
  • Credits can only be used within the Heartivy platform to access services
  • Credits cannot be withdrawn as cash or transferred to other users
  • Promotional credits may be subject to separate terms and expiry conditions
  • Refund requests for unused wallet credits must be submitted within 30 days of the transaction via heartiivyy@gmail.com
  • Refunds will be processed at Heartivy's sole discretion and subject to applicable laws
  • In the event of account termination due to violation of these Terms, unused wallet credits may be forfeited
  • Technical errors or failed transactions should be reported within 7 days at heartiivyy@gmail.com

Medical Disclaimer

The consultations and information provided through the Heartivy platform are intended for informational and support purposes only and should not be considered a substitute for professional medical diagnosis, treatment, or therapy.

Heartivy does not guarantee the accuracy, reliability, or effectiveness of consultations provided by psychiatrists or consultants through the platform. Users should consult licensed healthcare professionals for medical advice, diagnosis, or treatment when necessary.

Nothing on this platform constitutes a doctor-patient relationship between the user and Heartivy. Any relationship formed is solely between the user and the independent professional they consult.

No Guarantee of Outcomes

Heartivy does not guarantee any specific results or outcomes from consultations conducted through the platform. Advice or guidance provided by professionals may vary based on individual circumstances, and outcomes cannot be predicted or assured.

Any decisions made by users based on consultations obtained through the platform are made entirely at the user's own discretion and risk. Heartivy shall not be liable for any decisions or actions taken by users based on advice received through the platform.

Emergency and Crisis Disclaimer

IMPORTANT NOTICE: Heartivy is NOT intended to provide emergency medical or psychiatric services.

The platform is designed to facilitate communication between users and professionals for general consultation purposes only. Heartivy and the professionals on the platform are not equipped to provide emergency or crisis intervention services.

If you are experiencing a medical emergency, mental health crisis, or thoughts of self-harm or harm to others, please immediately:

Limitation of Liability

To the maximum extent permitted by applicable law, Heartivy shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from:

Heartivy acts only as an intermediary platform and is not responsible for the professional conduct, advice, or decisions of independent professionals listed on the platform. The aggregate liability of Heartivy, if any, shall not exceed the amount paid by the user for the specific service giving rise to the claim in the three months preceding the incident.

  • The use of or inability to use the platform
  • Consultations or advice provided by independent professionals on the platform
  • Unauthorized access to or alteration of user data
  • Any decisions or actions taken by users based on consultations received
  • Technical failures, service interruptions, or data loss

Indemnification

You agree to indemnify, defend, and hold harmless Heartivy, its directors, officers, employees, affiliates, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the platform in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Any content you submit, post, or transmit through the platform

Suspension and Termination

Heartivy reserves the right to suspend or terminate your access to the platform at any time, with or without notice, for any of the following reasons:

Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall continue to apply.

  • Violation of these Terms and Conditions
  • Providing false or misleading registration information
  • Engaging in fraudulent, abusive, or harmful behavior
  • Non-compliance with applicable laws or regulations
  • At Heartivy's sole discretion for any other legitimate reason

Privacy Policy

Use of the Heartivy platform is also governed by the Privacy Policy, which explains how personal information is collected, stored, used, and protected. The Privacy Policy is incorporated into these Terms by reference and forms an integral part of this agreement.

By using the platform, users agree to the terms described in the Privacy Policy. The Privacy Policy can be accessed at www.heartivy.com.

Grievance Redressal

In accordance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Heartivy has designated a Grievance Officer to address user complaints and concerns.

Grievances or complaints must be submitted in writing or via email. The Grievance Officer will acknowledge complaints within 48 hours and endeavor to resolve them within 30 days of receipt, as required under applicable law.

Changes to Terms and Conditions

Heartivy reserves the right to update or modify these Terms and Conditions at any time. For material changes that affect user rights or obligations, Heartivy will provide notice via email or in-app notification at least 14 days prior to the changes taking effect.

For minor or non-material updates, updated versions will be published on the website. Continued use of the platform after the effective date of any updates constitutes acceptance of the revised Terms. Users who do not agree with revised Terms should discontinue use of the platform.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023.

Any disputes arising from the use of the platform shall be subject to the following dispute resolution process:

17.1 Informal Resolution

Users are encouraged to first contact Heartivy's Grievance Officer at heartiivyy@gmail.com to resolve disputes informally within 30 days.

17.2 Formal Dispute Resolution

If informal resolution is not achieved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The language of arbitration shall be English.

17.3 Jurisdiction

Subject to the arbitration clause above, any legal proceedings shall fall under the exclusive jurisdiction of the courts located in New Delhi, India.

Miscellaneous Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Heartivy with respect to the use of the platform.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Heartivy's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

Users may not assign or transfer their rights or obligations under these Terms without Heartivy's prior written consent. Heartivy may assign its rights and obligations without restriction.

18.5 Force Majeure

Heartivy shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, internet service disruptions, or other force majeure events.
